Quick Summary

The core news this time is that Nestlé has established a 50-50 joint venture with private equity firm Platinum Equity for over 30 of its water and premium beverage brands including Perrier and San Pellegrino. Nestlé received around 23.2 billion RMB in cash after closing the deal, marking the final step in Nestlé’s years-long strategic contraction of its water business.

1. Transaction background: In recent years, Nestlé has gradually divested its non-core water assets, having previously sold its mainland China water business and North American water business. Its core strategy is to focus on around 30 high-margin flagship brands, and reallocate capital from low-margin businesses to higher-return segments.

2. Current industry landscape: The overall growth of the global bottled water market is slowing. Regulated by strict environmental legislation, the European market is only growing at 1.2%; China’s premium bottled water segment saw a 16% year-on-year decline in offline sales in 2024, and prices of imported premium waters like Perrier have dropped sharply. Consumers are no longer blindly loyal to international brands, and now pay more attention to ingredients, water sources and mineral content. The brand premium of traditional premium imported waters is continuing to erode.

This transaction and the ongoing shifts in the bottled water industry offer multi-dimensional insights for all types of water and beverage brands.

1. Shifting consumer trends: The overall growth of the global bottled water market is narrowing, with the entire Chinese industry growing just 0.2%. The premium water segment is in continuous decline, and consumers have become significantly more price-sensitive. Their purchasing decisions now focus on core attributes like ingredients and water sources rather than brand names, which has steadily compressed the premium space historically enjoyed by established high-end brands.

2. Strategic takeaways for enterprises: Leading brands should proactively optimize their asset structure by divesting low-margin non-core businesses, and concentrate resources on high-return core brands. Nestlé’s move to free up capital for higher-profit businesses by selling off water assets aligns with capital market principles for asset optimization, and serves as a useful reference for multi-brand groups.

3. Notes on competitive landscape: The "80/20 effect" in China’s water market is becoming increasingly entrenched, with leading domestic brands holding nearly half of the total market share. Both established and new brands need to adjust their brand narrative and rebuild competitiveness around consumers’ new demands.

This transaction and industry shift deliver clear opportunity signals and risk warnings for water beverage sellers, and can guide operational adjustments going forward.

1. Shifting market demand: While overall global bottled water growth is slowing, the Asia-Pacific region remains the core driver of global incremental growth, with China, India and Southeast Asia contributing more than 60% of the region’s growth. Within China’s domestic market, demand for sparkling water has fallen around 20%, while demand for functional electrolyte water, affordable sugary tea and basic bottled water has remained far more stable.

2. Risk warning: The traditional premium logic for imported water no longer holds, and prices of leading premium brands like Perrier and Evian continue to decline. Sellers that continue to bet heavily on premium imported water face high risks of inventory backlog and shrinking margins, and should adjust their product assortment promptly.

3. Opportunity outlook: As consumers increasingly value differentiated attributes such as water source and ingredients, water beverages highlighting high-quality domestic water sources and health positioning have greater opportunities to stand out. Additionally, the ongoing divestments of water businesses by global giants have left room for small and medium-sized sellers to grow in niche segments.

This transaction and industry shift offer clear insights for product positioning and business expansion for bottled water manufacturers.

1. Guidance for product development: Consumers no longer blindly worship international premium brands, and now prioritize ingredients, water sources and mineral content. Factories should highlight these consumer-centric core selling points in R&D and production, build differentiated products, and align with new market demands.

2. Notes on industry characteristics: Bottled water is a typical capital-intensive, long-supply-chain business, with high costs for water source maintenance, filling production and logistics distribution, leading to overall low margins. Factories should avoid blind capacity expansion, prioritize production cost control, and avoid repeating Nestlé’s mistake of bearing the burden of an overstretched brand portfolio.

3. New business opportunities: Global giants are continuously divesting branded but marginalized water businesses, and the acquirers of these assets require high-quality production and supply chain support. Factories can activate these resources through OEM partnerships or acquisitions of established brands, expand their business scope, and access new markets based on the existing brand foundation.

Viewed from this transaction and broader industry trends, the ongoing consolidation of the bottled water sector has generated substantial new service demand, creating clear direction for service providers.

1. Industry development trend: Global bottled water industry consolidation is accelerating, as leading food giants continuously divest non-core low-margin businesses, with private equity firms as the primary buyers. These PE firms generally need operational optimization after acquiring assets, which generates strong demand for third-party services.

2. Core pain points of clients: The core challenges for bottled water enterprises fall into three categories: First, the asset-heavy model leads to high production and logistics costs and low overall margins, creating strong demand for cost reduction. Second, the traditional marketing logic for premium brands is no longer effective, requiring repositioning to align with new consumer demands. Third, tightening environmental regulations are driving up compliance costs continuously.

3. Directions for business expansion: Service providers can develop targeted offerings including supply chain cost optimization solutions, brand repositioning and marketing services, and environmental compliance services. These can meet the operational optimization needs of PE firms post-acquisition, as well as support the growth of domestic emerging brands, helping service providers unlock new business growth points.

The shifting landscape of China’s bottled water industry and this transaction provide valuable reference for category sourcing, operation and risk mitigation for e-commerce marketplaces.

1. Adjustments to category sourcing: As demand for premium imported water continues to decline while demand for functional electrolyte water, affordable sugary tea and basic bottled water stays stable, and consumers increasingly prefer differentiated domestic water beverages, marketplaces should adjust their category sourcing strategy by increasing recruitment of domestic brands with differentiated offerings to match changing market demand.

2. Operational adjustments: The brand premium of premium imported water continues to shrink, with prices falling steadily. Marketplaces should adjust their price tier layout for the category and optimize the allocation of display resources to adapt to current price changes and demand structure.

3. Risk mitigation: Given the extremely low overall growth of China’s domestic water market and years of continuous decline in the premium segment, marketplaces should avoid over-sourcing premium imported water to mitigate risks of traffic decline and inventory backlog. At the same time, they can capitalize on the market space created by global giants’ divestments by introducing domestic emerging brands to enrich their category matrix and capture structural growth opportunities.

Nestlé’s divestment of water brands including Perrier serves as a representative case study of new trends and issues emerging in the global bottled water industry.

1. New industry trends: Leading global food companies are launching a new round of strategic contraction, actively divesting low-margin non-core businesses to focus on high-margin core brands. The "M&A&O" (Mergers and Acquisitions & Operations) model practiced by Platinum Equity, where PE firms combine acquisitions with active operational improvement, is increasingly applied in the consumer sector. A replicable path has formed for PE firms to acquire mature businesses divested by large corporations, with the partnerships with Danone and Nestlé serving as prime examples.

2. New industry challenges: Overall growth of the bottled water industry is slowing, and stricter environmental regulations have pushed up compliance and production costs. Consumer decision-making logic has fundamentally changed, and the premium pricing system of traditional high-end water is collapsing. In China’s market, the entrenched 80/20 market concentration and continued declining industry margins all represent new structural issues that require further research.

3. New industry structure: The era dominated by international water brands has ended. Domestic brands are gaining market share by leveraging a better understanding of local consumer demand, and a structural industry restructuring is already underway that merits in-depth research.
