Quick Summary

This article centers on the termination of the Beijing Stock Exchange (BSE) IPO of Energy Technology, a controlled subsidiary of BOE, China’s trillion-yuan leading display panel manufacturer. It outlines the background, causes and impacts of the event, with key takeaways as follows:

1. Event overview: Energy Technology’s IPO application was accepted by the BSE in December 2025. Six months later, it voluntarily withdrew its application materials and failed to respond to the BSE’s first round of 11 review inquiries. This marks the second failed spin-off listing for BOE in over two decades. On the trading day after the IPO termination, BOE A’s share price plummeted 7.52%, wiping out more than 17 billion yuan in market value. The stock later stabilized and rebounded after mass production began at BOE’s 8.6-generation OLED production line, and BOE currently holds a total market capitalization exceeding 250 billion yuan.

2. Core reasons for the IPO termination: Energy Technology’s gross margin dropped from over 40% to 26.7% over four years. Its R&D expenditure ratio has long stayed below 1%, most core patents are co-filed with BOE, multiple related parties have overlapping business with the subsidiary, and its independent operation capability was not recognized by regulators. The failure to complete inquiry responses ultimately led to the termination.

3. Impact of the event: BOE’s core display panel business is currently in a cyclical downturn. The company originally planned to nurture a second growth curve by spinning off its new energy business, and this IPO termination will slow the pace of its overall transformation.

This article offers valuable insights for brand enterprises pursuing diversified expansion and seeking a second growth curve, with key takeaways as follows:

1. Prioritize independent capability building when incubating new businesses: BOE Energy Technology originated from serving the parent group’s internal green power demand, and achieved rapid revenue growth relying on parent company resources. However, its core technology dependence on the parent, overlapping business with related parties, and unclear property rights ultimately led to the IPO failure. Brand companies should clarify property rights and business boundaries as early as possible when incubating new businesses, and cultivate independent operation capabilities.

2. Align new business expansion with own financial affordability: BOE’s core panel business is a capital-intensive, highly cyclical industry. Its profitability in recent years has been far lower than its peak, with annual fixed depreciation reaching hundreds of billions of yuan, leaving very limited cash flow for new business investment. That is why BOE sought to spin off Energy Technology and bring in public capital to cover the subsidiary’s funding gap. Brand companies should plan financing paths in advance when rolling out new businesses, and avoid excessive drain on the parent company’s cash flow.

3. Cyclical brands should lay out a second growth curve in advance to smooth volatility. This failed spin-off has delayed BOE’s transformation progress, demonstrating that brands should not rush the incubation of new businesses, and should solidify foundational capabilities before advancing capitalization.

This article provides useful references for sellers entering the new energy integrated energy service track, with key takeaways as follows:

1. Track risk warning: New energy integrated energy service is a typical capital-intensive, long-cycle track. The payback period for self-operated power stations can reach 8 to 10 years, EPC projects require advance capital垫资, and new energy subsidy disbursement cycles stretch to 3 to 5 years. High accounts receivable as a share of revenue is a widespread industry issue. In the first half of 2025, Energy Technology’s accounts receivable reached 170.8% of its total revenue, with continued weakening of internal cash generation. Players entering this track should prepare sufficient capital reserves in advance and guard against liquidity risks.

2. Capitalization guidance: Against the current tightening of primary market financing, a domestic A-share listing remains the core path for new energy enterprises to secure long-term stable capital. Regulators impose very strict requirements on the independence of prospective listed companies, with independent core technology, clear business boundaries and standardized related party transactions as basic prerequisites.

3. Opportunity outlook: Manufacturing sectors have rigid demand for green power consumption and energy-saving retrofits, leaving sufficient growth space for the track. For sellers with capitalization plans, sorting out core intellectual property ownership, standardizing related party transactions, and addressing independence issues in advance will significantly improve listing success rates.

This article offers valuable insights for energy-intensive manufacturing factories pursuing net-zero layouts and incubating new growth poles, with key takeaways as follows:

1. Internal demand can nurture new commercial opportunities: Panel manufacturing is a typical high energy-intensive industry. BOE’s nationwide production bases have long-term rigid demand for green power consumption and energy consumption management, which spawned the growth of Energy Technology from scratch. Validating business models through internal demand and expanding to external markets is a feasible path for manufacturing factories to incubate new businesses.

2. Clarify boundaries in advance when incubating new businesses: New businesses incubated relying on parent company resources are prone to issues such as core technology dependence and overlapping business with related parties, which directly hinders the new business’ subsequent independent development and capitalization process. Factories should clarify property rights and business boundaries from the initial stage of incubating new businesses, and cultivate independent operation capabilities.

3. The spin-off model is a viable financing option for new businesses: Capital-intensive factories already have high fixed input, leaving limited cash flow for new business. Spinning off mature incubated new businesses for public listing can not only meet the new business’ capital demand, but also avoid excessive drain on the parent company’s cash flow, making it a recommendable model. However, companies need to meet regulatory independence requirements in advance.

This article shares industry insights for net-zero integrated energy service providers, with key takeaways as follows:

1. Industry development trends: Currently, energy-intensive manufacturing has massive rigid demand for green power consumption, energy efficiency optimization and energy-saving retrofits, leaving broad growth space for the integrated energy service industry. Many leading manufacturing enterprises have incubated their own energy service platforms, bringing a steady increase in track players. However, the industry as a whole is characterized by heavy assets, long cycles and slow payment collection, and most players face significant working capital pressure.

2. Core industry pain points: Most integrated energy service providers incubated by parent companies commonly suffer from core technology dependence on the parent, high related party transaction ratios, and overlapping business with related parties. Insufficient independence is the core barrier for these players to access capital markets. In addition, affected by long subsidy settlement cycles, the industry sees large accounts receivable, weak internal cash generation, and widespread large capital gaps.

3. Insights for service providers: For players planning to access capital markets, it is necessary to sort out core intellectual property ownership in advance, clarify business boundaries with related parties, cultivate independent operation capabilities, and plan diversified financing paths early to cope with the capital pressure of the asset-heavy model.

This article provides references for equity trading platforms to optimize project sourcing, review and risk control for spin-off listing projects, with key takeaways as follows:

1. Changing demand facing platforms: Currently, many listed companies facing growth bottlenecks in their core businesses are incubating new businesses to cultivate a second growth curve, and demand for spinning off subsidiaries for exchange listing continues to grow. The BSE has become the preferred listing venue for many incubated subsidiaries listed on the New Third Board. Platforms need to optimize their services and review rules accordingly to match market demand.

2. Core risk control points for spin-off projects: This case shows that core risks of spin-off listing projects are concentrated in subsidiary independence, including core technology dependence on the parent company, excessively high related party transaction ratios, and competition or overlapping business with related parties. All these are core focuses of regulatory review. Platforms should strengthen verification and inquiries on these issues to prevent listing risks.

3. Directions for platform optimization: Platforms can launch standardized operation guidance in advance for enterprises planning spin-off listings, guide them to resolve core issues such as independence and related party transactions ahead of time to improve listing success rates, while improving screening mechanisms to select high-quality targets that truly meet requirements and maintain market order.

This article provides valuable material for researchers studying heavy manufacturing transformation and spin-off listings of listed companies, with key takeaways as follows:

1. Current industry new trends: Against the backdrop of slow core business growth and declining cyclical profitability, leading players in highly cyclical, capital-intensive manufacturing industries such as display panels are generally laying out second growth curves, with new energy being the most popular track for leading enterprises. Spinning off subsidiaries for public listing has become a mainstream business model for leading enterprises to meet new business capital demand and diversify operational risks.

2. Emerging industry issues: New businesses incubated relying on parent companies’ internal demand generally suffer from the pain point of insufficient independence, including core technology dependence on the parent, vague related party boundaries, and prominent horizontal competition issues. These problems have become the core barrier to spin-off listings, and also reflect the common contradictions in the current spin-off listing process for listed companies.

3. Research reference value: This case provides the latest real-world sample for studying transformation paths of cyclical heavy manufacturing, and exposes specific issues emerging during the implementation of current spin-off listing rules. It offers valuable reference for improving regulatory policies related to spin-off listings and optimizing supporting policies for manufacturing transformation, with high case study value.

其收入主要来自两类模式:一类是工程总包路径,为客户提供光伏电站、储能项目从设计到施工的全流程服务,项目交付后结算工程款;

于京东方而言,推动能源科技独立上市,一方面,可以在不违反内部关联交易管理制度、不额外增加自身或有负债风险的前提下,借助资本市场解决子公司的资金需求,将自身宝贵的现金流从潜在的被占用压力中解放出来,无需持续为子公司的重资产业务“输血”;
